Constitution

ARTICLE I           NAME AND DECLARATION OF GEOGRAPHY
The name of this organization shall be the Thomas Jefferson Soccer Club Soccer Association, after this referred to as “Thomas Jefferson Soccer Club.”
Thomas Jefferson Soccer Club serves the borough of Pleasant Hills PA, Jefferson Borough PA, the West Jefferson Hills school district (consisting of Pleasant Hills, Jefferson, and West Elizabeth PA), and surrounding communities in Pennsylvania, including but not limited to Bethel Park, South Park, Baldwin/Whitehall, West Mifflin, Clairton, Brentwood, and Munhall, PA. Players from all areas are invited to participate in Thomas Jefferson Soccer Club based upon eligibility by relevant criteria. Thomas Jefferson Soccer Club is an unincorporated organization with a registered office at P.O. Box 18301, Pleasant Hills, PA 15236.

ARTICLE II           PURPOSE
The purpose of Thomas Jefferson Soccer Club is to stimulate and develop proficiency in the sport of soccer consistent with healthy character development and good sportsmanship. No part of the net earnings of Thomas Jefferson Soccer Club shall inure to the benefit of or be distributed to its members, officers, or other private persons, except that Thomas Jefferson Soccer Club shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501 (c) (3) of the Internal Revenue Code of 1954, as amended (or the corresponding provisions of any future United States Internal Revenue Law). No substantial part of the activities of Thomas Jefferson Soccer Club shall involve the carrying on of propaganda or otherwise attempting to influence legislation, and Thomas Jefferson Soccer Club shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provisions of these articles, Thomas Jefferson Soccer Club shall not carry on any other activities not permitted to be carried on by a corporation, contributions to which are deductible under Section 501 (c) (3) of the Internal Revenue Tax Code.

ARTICLE III           AFFLIATION
Thomas Jefferson Soccer Club is organized as a club member of the PA WEST Soccer Association (henceforth referred to as PA WEST and shall ensure that its rules and regulations allow it to continue to qualify as a member of PA WEST.
Under its affiliation with PA WEST, Thomas Jefferson Soccer Club shall not impede on the right of its members, coaches, players, or parents to appeal any matter regarding Thomas Jefferson Soccer Club's Constitution, By-Laws, Rules, and Regulations or the day-to-day running of Thomas Jefferson Soccer Club as provided for in the government of PA WEST.

ARTICLE IV           GOVERNMENT
Thomas Jefferson Soccer Club shall be governed by its Constitution, By-Laws, & Rules, and Regulations.

ARTICLE V           MEMBERSHIP
1.0     Thomas Jefferson Soccer Club is a volunteer service organization whose membership will be open to qualified individuals willing to work actively in achieving the stated purposes of Thomas Jefferson Soccer Club. Qualifications and procedures for applying for membership shall be in accordance with the By-Laws.

2.0     No fees will be charged to be a member of Thomas Jefferson Soccer Club.

3.0     Each member shall have one (1) vote at all association meetings, elect the officers of Thomas Jefferson Soccer Club and have the right to hold office. Voting by proxy will not be permitted.  

ARTICLE VI
           SEASONAL YEAR
The seasonal (fiscal) year of Thomas Jefferson Soccer Club shall begin on August 1 and end on July 31, provided that the playing season shall coincide with the dates set forth by PA WEST.

ARTICLE VII           OFFICERS
1.0 The government of Thomas Jefferson Soccer Club, with the authority set out herein and in the By-Laws, shall be vested in a governing body known hereafter as the Board of Directors.

2.0 The Board of Directors shall be comprised of all Thomas Jefferson Soccer Club elected officers as provided for in the By-Laws.

3.0 The Board of Directors may delegate specific affairs and responsibilities to an Executive Committee as defined herein and in the By-Laws.

4.0 The Board of Directors shall have the following officers: a President, a Vice President, Secretary, Treasurer, In-House Commissioner, Travel and Tournament Commissioner, Referees Commissioners (In-house and Travel), Registrars (In-house and Travel), Field Managers (In-house and Travel), Equipment manager, Fund Raising Coordinator, Special Events Coordinator, Webmaster, a Coach and Player Development Commissioner, and one or more Members at Large.

5.0 Each officer shall serve a term of two years.

6.0 No limits will be set on the number of terms that any officer may serve.

7.0 An officer may be removed from office if the officer fails to qualify as a member in the By-Laws. Or for malfeasance or neglect of duty (Including absence for three successive Association regular meetings or half of all Association regular meetings). Procedures for removing an officer shall be as provided under Chapter 5 of the Bylaws.

8.0. If an office is vacant, special elections to fill the office for the remainder of the term shall be held in the next regularly scheduled meeting. An officer may be named in the interim by the Board of Directors. An officer currently serving in another capacity may be appointed in the interim, provided that no officer holds more than two offices at any time.

9.0 If Thomas Jefferson Soccer Club cannot elect an officer to fill a vacancy, then the interim officer may continue in this office, provided that there are no more than three such interim officers at any time.

10.0 In the case that there are four or more offices that are vacant, Thomas Jefferson Soccer Club shall immediately hold a special meeting to elect the officers to meet the requirements provided herein. If Thomas Jefferson Soccer Club is unable to elect the necessary officers, then Thomas Jefferson Soccer Club shall be dissolved.

 ARTICLE VIII           EXECUTIVE COMMITTEE
1.0 The Board of Directors may delegate to an Executive Committee the conduct and the responsibility for the daily affairs of Thomas Jefferson Soccer Club.

2.0 The Executive Committee shall be composed of officers selected by the Board of Directors.

3.0 The Duties and responsibilities of the Executive Committee shall be as defined in Chapter 4 of the Bylaws.

4.0 The Executive committee shall meet as provided for in the By-Laws. Any decisions of the Executive Committee may be appealed to the Board of Directors by the votes of one-third (1/3) of the Executive Committee.

ARTICLE IX           MEETINGS
1.0 There shall be one Board of Directors meeting per month during the Seasonal Year; the date and time shall be as provided for in Chapter 2 of the Bylaws.

2.0 Special meetings may be called as provided for in the Bylaws.

3.0 The conduct of all meetings shall be as provided in the Bylaws and the Rules and Regulations.

4.0 A quorum required to conduct business shall be as provided for in the By­laws.

ARTICLE X           AMENDMENTS
The constitution may be amended or repealed, in whole or in part, by a two-thirds vote of the membership in good standing, at any duly called meeting of the Board of Directors, provided that one-half plus one of all members of good standing are present. Proposals for amendment or repeal of the Constitution must be made in writing and submitted to the Secretary to toirty days notice to all members prior to considering such proposal at any meeting.

ARTICLE XI           BYLAWS & RULES AND REGULATIONS
1.0 Bylaws will be hereinafter adopted. They may be amended or repealed in whole or in part in the manner provided therein.

2.0 Rules and Regulations which shall govern such matters (but not necessarily limited to) as In-House Leagues, Travel Team programs, Coaches. Referees, Players shall be hereinafter adopted. They maybe amended or repealed in whole or in part by a majority vote of the Board of Directors provided that a quorum exists and provided further that no rule changes maybe made concurrent to a playing session and provided further that rule changes do not violate PA WEST rules as provided for herein.

ARTICLE XII           DISSOLUTION OF THOMAS JEFFERSON SOCCER CLUB
1.0 Thomas Jefferson Soccer Club maybe dissolved as provided herein or by a vote of two ­thirds of all members of Thomas Jefferson Soccer Club meeting to consider a resolution to dissolve Thomas Jefferson Soccer Club provided further than thirty days notice has been given to all members.

2.0 Upon dissolution of Thomas Jefferson Soccer Club. the Executive committee shall after paying or making provisions for the payment of all Association liabilities dispose of all assets of Thomas Jefferson Soccer Club exclusively for the purpose as stated in Article II of the constitution and conducted exclusively for like purpose as shall at that time qualify as exempt under Section 501(c)(3) of the Internal Revenue Code.
